Reseller terms & conditions

The reseller program does not require any additional subscription. However, the following conditions apply when and if a Client acts as an ambassador and invites a friend, family member, or person in his or her circle of influence to purchase any product from or through UKUTEL.

Global definitions applicable:

The following words or phrases shall bear the meaning stated below:

 “UKUTEL” shall mean UKUTEL (PTY) LTD with registration number 2019/284775/07.
 “Client(s)” shall mean any person or legal entity with an UKUTEL account number and active product subscription.

 “Ambassador” shall mean any client who willingly, without the need to pay any additional fee or subscription, promote the products of Ukutel in exchange for a reward as depicted by Ukutel from time to time.

PART 1: GENERAL TERMS AND CONDITIONS:
  1. Cancellation.
  • Cooling-off Period: A Client may cancel his/her product subscription which shall be no more than 5 working days from the registration date, and obtain reimbursement of any payment without any form of penalty on the condition that no airtime has been spent.
  • In the case that airtime has been spent, then the value of the airtime shall be deducted from the reimbursement amount.
  • After the Cooling-off Period: A normal 30-day cancellation period is imposed. Payments made, and the cost of such deduction/s inside the 30-day cancellation period, are non-refundable.

  2. In the case that airtime has been spent, then the value of the airtime shall be deducted from the reimbursement amount.
  3. After the Cooling-off Period: A normal 30-day cancellation period is imposed. Payments made, and the cost of such deduction/s inside the 30-day cancellation period, are non-refundable.
  4. A Client who markets the products, services, and/or benefits of UKUTEL shall operate his/her own business, is an independent contractor (for all purposes including tax and otherwise), and is not an employee, legal representative, or agent of UKUTEL.
  5. A Client, provided he/she is an active Client, with an active product, shall be entitled to start earning on the Clients he/she invited on an “as-and-when” basis, (every time the Client makes payment), as per “Part 7”.
  6. The earnings structure refers to the earnable fees, as listed by UKUTEL from time to time, and by these listed terms and conditions.
  7. UKUTEL may in its sole discretion and at any time alter the earnings structures and required qualifications if UKUTEL deems such alterations to be in the interest of itself and Client.
  8. A Client can terminate his association with UKUTEL at any time by writing.
  9. A Client who terminates, or whose association with UKUTEL is terminated, shall lose his/her Client status with UKUTEL and forfeit all rights in terms of this agreement.
  10. To be entitled to the benefits and earnings due as set out in this application and rules and policy document, a Client must ensure that his/her Client ship remains active and valid and shall ensure that all Client ship fees are paid on time, as per agreement.
  11. UKUTEL shall not be held liable for any consequential or incidental damages caused by its breach, cancellation, or suspension of this agreement, whether or not the possibilities for such damages are known to UKUTEL.
  12. A Client will operate his/her business in such a manner and at all times to ensure that his/her conduct complies with the rules, and policies of UKUTEL as per the agreed Code of Conduct.
PART 2: TRANSFER OF ACCOUNT AND PROFIT SHARING:

Only in the event of the death of a Client can a Client account, product subscription, and profits be transferred.

In such event, ownership of the Client account can be transferred to a nominated beneficiary, who will have the right to become the new Client, on condition that such new Client qualifies to subscribe to any of the available products or benefits presented by UKUTEL, and that such beneficiary agrees to comply with all the terms and conditions of the selected products and/or benefits.

PART 3: ELIGIBILITY TO EARN PROFIT:

Only a “Client” with an active account and subscription is eligible to earn profits.

PART 4: SHARE-ABLE PROFITS:

UKUTEL chooses to share a percentage of the product value, and or profit margin, which does not exceed 50%, back to the Client who is responsible for moving a product. The profit share is done in accordance with the rewards and commission calculations as posted on the UKUTEL website.

PART 5: CALCULATION PERIOD AND DATE:

Earnings and incentives are calculated daily

PART 6: OFFSET OF EARNINGS:

Earnings are offset against:

  1. The line rental fee is payable under the agreement.
  2. The Airtime package upgrade value.
  3. Top-Up airtime/data bundles purchased by the Client through the Ukutel website
PART 7: EARNING CALCULATIONS:

The Client shall earn the following profits, where products have been purchased by another Client in his/her qualifying tiers.:

  1.      5% of the value of the initial airtime package
  2.      5% of the value of the annual line-rental fee
  3.      2.5% of the value of top-up airtime
  4.      25 ZAR when an Ukutel Sim is activated that was ordered.
  5.      0.5% of the value of any standard purchased data bundle.
  6.      1% of the value of any top-up data bundle.
PART 8: QUALIFYING TIERS:

The number of Tiers a Client can earn profits on is dependent on the Airtime Package he or she is on.

  1. Starter Package holder: 3 Tiers
  2. Medium Package holder: 6 Tiers
  3. Pro Package holder: 10 Tiers
  4. Data Package holder: 10 Tiers
    • When a client has an active data package, then the qualifying tiers of the data package will override the qualifying tiers of any active airtime package such client may have. That is, the client will earn on 10 Tiers.
PART 9: PAYMENT OF EARNINGS DATE:

Earnings are paid every Friday, or the next working day for earnings calculated up to and including the Wednesday preceding the Friday.

PART 10: ROLL-UP:

To keep the business compounded with active paying “Clients”, UKUTEL may apply the roll-up system to remove “Clients” who have not paid their line rental fee, or have been suspended for reasons as per the UKUTEL “Code of Conduct”, from time to time.

PART 11: SPILLOVER:

A Client may invite as many people as s/he likes to purchase a product from UKUTEL.

However, a Client is limited to 4 Clients on his/her 1st Tier..

Let’s assume Client “John” has 4 Clients on his 1st Tier, with names: “Client A”, “- B”, “- C”, and “- D”.

If “John” invites a 5th person, then the system will place the 5th Client according to the following rules:.

Rule 1:  Keep the 5th person in “John’s” business.

Where?

Rule 2:  If Clients “A”, “B”, “C”, and “D” do not have their 4 Clients each, apply the following:

Rule 2.1 Place the 5th person under the Client with the least number of Clients on his/her respective Tier 1.

Rule 2.2 If Clients “A”, “B”, “C”, and “D” have an equal number of Clients on Tier 1, then place the 5th person under “Client A”.

Rule 3.  If Clients “A”, “B”, “C”, and “D” already do have their 4 Clients each, then apply the same rule set above onto lower Tiers to place the 5th person of “John”.

PART 12: ACCEPTANCE TO ABIDE BY THE CODE OF CONDUCT:

When acting as an ambassador, you accept this agreement, and unilaterally and unconditionally agrees to the terms and conditions as per the code of conduct, as publicly available on the UKUTEL website.
